Terms of Service

These Terms of Service ("Terms") apply to your access to and use of the websites and online products and services (collectively, the "Services") provided by the DISARM Foundation C.I.C. ("the DISARM Foundation", "we","us" or "our"). By using our Services, you agree to these Terms. If you do not agree to these Terms, please do not use our Services.

The DISARM Foundation C.I.C. is a Community Interest Company, registered in England and Wales (company number 15833044), with its registered office at Unit 3, Office A, 1st Floor, 6–7 St Mary At Hill, London EC3R 8EE, United Kingdom.

We may supply different or additional terms in relation to some of our Services, and those different or additional terms become part of your agreement with us, if you use those Services. If there is a conflict between these Terms and the additional terms, the additional terms will control to the extent of that conflict.

We may make changes to these Terms from time to time. If we make changes, we will provide notice of those changes, such as by updating the date at the top of these Terms, by sending an email or by providing a notice through our Services. Unless we say otherwise in our notice, the amended Terms will be effective immediately, and your continued use of our Services after we provide such notice confirms your acceptance of the changes. If you do not agree to the amended Terms, you must stop using our Services. We recommend that you review these Terms regularly.

1. The DISARM Frameworks and the CC-BY-SA-4.0 Licence

The DISARM frameworks, matrices, datasets, templates and accompanying documentation (together, the "DISARM Frameworks") are published as open resources. Except where stated otherwise, the DISARM Frameworks are licensed under the Creative Commons Attribution-ShareAlike 4.0 International Licence (CC-BY-SA-4.0).

This means you are free to:

  • Share —     copy and redistribute the DISARM Frameworks in any medium or format; and
  • Adapt —     remix, transform and build upon the DISARM Frameworks for any purpose, including commercially,

provided that you comply with the following licence conditions:

  • Attribution — you must give appropriate credit to the DISARM Foundation, provide a link to the licence, and indicate if changes were made. You may do so in any reasonable manner, but not in any way that suggests we endorse you or your use.
  • ShareAlike — if you remix, transform or build upon the DISARM Frameworks, you must distribute your contributions under the same licence (CC-BY-SA-4.0) as the original.
  • No additional restrictions — you may not apply legal terms or technological measures that legally restrict others from doing anything the licence permits.

The DISARM Frameworks and their predecessor, AMITT, have been licenced under the CC-BY-SA-4.0 licence since their inception. The CC-BY-SA-4.0 licence applies to the DISARM Frameworks only. It does not grant any rights in our trademarks, logos, brand names, domain names or other intellectual property, and it does not extend to the design, layout, software or other content of our website (see Section 2). Some images, datasets and documents may carry their own separate licensing terms; please check for any licensing information in or accompanying individual items. When reusing the DISARM Frameworks under the licence, you must not include our logos, brandmarks or trade marks in your adaptation, or otherwise suggest that we endorse your work.

2. Website Content and Intellectual Property

Other than the DISARM Frameworks described in Section 1, our Services — including the text, graphics, images, photographs, videos, illustrations, software and other content they contain — are owned by the DISARM Foundation or our licensors, and are protected by intellectual property laws. Except as expressly stated in these Terms, all rights in and to the Services are reserved by us or our licensors.

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use our Services for your own personal or organisational use. Any use of the Services other than as specifically authorised in these Terms or under the CC-BY-SA-4.0 licence, without our prior written permission, is prohibited and may terminate the licence granted here.

Our logos, brand names and trademarks remain subject to our rights and the rights of the relevant owners. Nothing in these Terms grants you any right to use them.

3. UserAccounts and Account Security

For information about how we collect, use, share and otherwise process information about you, please see our Privacy Policy.

You may need to register for an account to access some of our Services. If you register for an account, you must provide accurate account information and promptly update it if it changes. You must also maintain the security of your account and promptly notify us if you discover or suspect that someone has accessed your account without your permission. If you permit others to use your account credentials, you are responsible for their activities in connection with your account. We reserve the right to reclaim usernames, including on behalf of businesses or individuals that hold a legitimate claim to them. You may close your account at any time by contacting us at info@disarm.foundation.

If you are under 18, or if you otherwise need the consent of a parent or guardian to enter into a contract, then by using our Services you confirm that you have that consent. If you do not have it, you must stop using our Services.

4. Prohibited Conduct and Content

You must not violate any applicable law, contract, intellectual property right or other third-party right, and you are solely responsible for your conduct while using our Services. In particular, you must not:

  • use or attempt to use another user's account without authorisation from that user and the DISARM Foundation;
  • impersonate or post on behalf of any person or entity, or otherwise misrepresent your affiliation with a person or entity;
  • sell, license or resell our Services;
  • copy, reproduce, distribute, publicly perform or publicly display all or part of our Services, except as expressly permitted by us, by our licensors, or under the CC-BY-SA-4.0 licence;
  • modify our Services, remove any proprietary rights notices or markings, or make derivative works based on our Services, except as permitted under the CC-BY-SA-4.0 licence;
  • use our Services in any manner that could interfere with, disrupt, negatively affect or inhibit other users, or that could damage, disable, overburden or impair the functioning of our Services;
  • reverse engineer any aspect of our Services, or attempt to discover source code or to disable, bypass or circumvent any measures used to protect or limit access to the Services;
  • use any data mining, robots or similar methods to scrape or extract data from our Services;
  • develop or use any applications that interact with our Services, without our prior written consent;
  • send, distribute or post spam, unsolicited or bulk commercial communications, chain letters or pyramid schemes via our Services;
  • bypass or ignore the instructions in our robots.txt file; or
  • use our Services for any illegal or unauthorised purpose, or encourage or promote any activity that violates these Terms.

Enforcement of this Section 5 is at the DISARM Foundation's discretion, and a failure to enforce it in some instances is not a waiver of our right to enforce it in others. This Section does not create any private right of action for any third party, nor any expectation that the Services will be free of prohibited content. We may use technical means to block any user who is not complying with these Terms.

5. Third-Party Tools and Other Content

We may provide information about, or links to third-party products, services, tools, videos, templates, guides and other resources ("Third-Party Content"). You are solely responsible for your use of Third-Party Content and must ensure that it complies with all applicable laws. We provide Third-Party Content as a convenience to those interested in it. Your dealings with third parties, and your use of or interaction with any Third-Party Content, are solely between you and the relevant third party. It is in the nature of the web for sites to link to one another; these links do not signify that we endorse the linked site. The DISARM Foundation does not control or endorse, and makes no representations or warranties regarding any Third-Party Content, and your access to and use of it is at your own risk.

6. Disclaimers

Your use of our Services is at your own risk. Except as otherwise provided in writing by us, our Services and any content they contain are provided "as is" and "as available", without warranties of any kind, whether express or implied, including (but not limited to) any implied warranties or conditions of satisfactory quality, fitness for a particular purpose, title and non-infringement. We do not represent or warrant that our Services are accurate, complete, reliable, current or error-free, or that they or the servers that make them available are free of viruses or other harmful components. You assume the entire risk as to the quality and performance of the Services.

While we make every reasonable effort to keep our Services running smoothly, we take no responsibility for, and will not be liable for, the Services being temporarily unavailable.

Nothing in this Section limits or excludes any warranty, right or remedy that cannot be limited or excluded under applicable law, including under the Consumer Rights Act 2015, where it applies to you.

7. Limitation of Liability

Nothing in these Terms excludes or limits ourliability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above, and to the fullest extent permitted by law, the DISARM Foundation will not be liable to you —whether in contract, tort (including negligence), breach of statutory duty orotherwise — for any indirect or consequential loss, or for any loss of profits, revenue, business, goodwill, anticipated savings or data, arising out of or inconnection with these Terms or your use of our Services.

Subject to the first paragraph of this Section, our total aggregate liability to you for all claims arising out of or relating to these Terms or our Services, regardless of the form of the claim, is limited to the greater of £50 or the total amount (if any) you paid to us to use our Services in the six months preceding the claim.

The DISARM Frameworks are provided free of charge under the CC-BY-SA-4.0 licence, and the disclaimer and limitation of liability set out in that licence apply to your use of the DISARM Frameworks.

8. Intellectual Property and Other Complaints

We respect the intellectual property rights of others and expect users of our Services to do the same. If you believe that anything on our Services infringes a copyright or other right that you own or control, please send a notice to us at info@disarm.foundation, marked for the attention of the Chief Executive Officer.

To help us deal with your complaint, please include:

  • your full name, postal address, telephone number and email address;
  • a description of the work or right in which you claim an interest (for a copyright work, the title, type and format of the work, the author, and the date and place of origin so far as known);
  • the precise nature of your claim and its legal basis;
  • the location (for example, the URL) of the material you say is infringing or otherwise objectionable; and
  • a statement of the grounds of your complaint.

We operate a policy of removing, in appropriate circumstances, content that infringes the rights of others, and of suspending or terminating the accounts of repeat infringers. Please note that if you knowingly misrepresent that material is infringing, you may be liable for the resulting costs and damages.

9. Modifying and Terminating our Services

We reserve the right to modify our Services, or to suspend or stop providing all or part of them, at any time. You may stop using our Services at any time. We are not responsible for any loss or harm related to your inability to access or use our Services.

10. Severability

If any provision (or part of a provision) of these Terms is found to be unlawful, void or unenforceable, that provision or part is deemed severable, and does not affect the validity and enforceability of the remaining provisions, which continue to bind you.

11. Governing Law and Jurisdiction

These Terms, and any dispute or claim arising out of or in connection with them, their subject matter or formation (including non-contractual disputes or claims), are governed by and construed inaccordance with the law of England and Wales. You and the DISARM Foundation agree that the courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim, although we retain the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant country. If you are a consumer resident elsewhere, you may also benefit from any mandatory protections of the law of your country of residence.

12. General

The failure of the DISARM Foundation to exercise or enforce any right or provision of these Terms is not a waiver of that right orprovision. The section titles are for convenience only and have no legal effect. Except as otherwise provided, these Terms are intended for the benefitof you and the DISARM Foundation and do not confer any rights on third parties under the Contracts (Rights of Third Parties) Act 1999. These Terms, together with any supplemental terms we provide and the CC-BY-SA-4.0 licence as it applies to the DISARM Frameworks, are the entire agreement relating to your use of the Services. You agree that communications and transactions between us maybe conducted electronically.

We may translate all or part of these Terms into other languages. If there is any conflict between the English version of a provision and a translation, the English version prevails. If there is any conflict between these Terms and the terms of any other service you use to access our Services, the two will be read so as not to conflict; if that is not possible, these Terms prevail, unless doing so would impose liability on the DISARM Foundation.
